Shay Mitchell’s Béis is set for a major change in ownership after luggage company Samsonite agreed to acquire an 85 percent stake in the lifestyle and travel brand for $178.5 million in cash. The transaction values Béis at approximately $210 million and brings the company founded by Mitchell in 2018 under the Samsonite Group umbrella. Mitchell will retain a 15 percent stake and continue shaping the brand’s creative and product direction after the deal closes.

The acquisition gives Samsonite a stronger foothold in the lifestyle bag category while expanding its reach among younger, predominantly female consumers. For Béis, the deal comes eight years after Shay Mitchell launched the company and built it into a digitally driven brand with a substantial following across social media. The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals and other customary closing conditions.

Samsonite Agrees to Acquire 85 Percent of Béis

Samsonite Group S.A. announced the definitive agreement on Wednesday, August 12. Under the terms, the luggage company will acquire 85 percent of Béis for $178.5 million, funded through cash on hand and available borrowing capacity under its revolving credit facility.

The transaction represents an enterprise value of approximately $210 million on a cash-free, debt-free basis, subject to a customary net working capital adjustment.

Following the closing, Béis will become a Samsonite subsidiary but will continue operating as a standalone brand. Its existing management team will remain in place, with Adeela Hussain Johnson continuing as CEO.

Samsonite said the acquisition is expected to have a minimal impact on its profitability at closing, while the company sees opportunities for operating efficiencies as Béis grows within its global infrastructure.

Shay Mitchell Will Remain Involved

Shay Mitchell will retain a 15 percent ownership stake in Béis and continue working with the company as Founder and Head of Creative and Design. She has agreed to roll over approximately half of her existing equity into the business following the acquisition.

“I’m so proud of what our small but mighty team has built over the past eight years,” Mitchell said in a statement, calling the acquisition “a dream come true.”

The actress and entrepreneur also said Samsonite was the right partner because the two companies’ strengths complement each other, adding that the deal gives Béis an opportunity to pursue ambitions that would have been more difficult to achieve independently.

Mitchell, best known for her role as Emily Fields on “Pretty Little Liars,” founded Béis in 2018 after developing the concept around her own experiences with travel. The company has since grown from a small luggage venture into a broader lifestyle business.

The acquisition comes as Béis continues to post significant growth. The company generated approximately $210 million in net sales in 2025, with lifestyle bags accounting for roughly 50 percent of its sales.

The brand has built much of its visibility through a digital-first strategy that combines social media, creator partnerships, collaborations and direct-to-consumer sales. Béis currently has more than 1.4 million followers on Instagram and over 619,000 on TikTok.

That digital presence is one of the major attractions for Samsonite. The luggage giant said the acquisition will strengthen its digital capabilities while helping it connect with a younger consumer base.

Béis has also developed a reputation for combining practical travel features with fashion-conscious design. Its product range now includes luggage, handbags, travel accessories, everyday bags and children’s luggage.

Beach House Group to Sell Its Stake

Beach House Group, which incubated Béis alongside Mitchell, will sell its entire 70 percent ownership stake as part of the transaction.

Shaun Neff, founder of Beach House Group, said the company was proud to have helped bring Mitchell’s original vision to life and described the transaction as the next stage in Béis’ development.

The remaining ownership structure will leave Mitchell with her 15 percent stake, while Samsonite will become the majority owner once the deal is completed.

Samsonite Sees Room for Global Growth

Samsonite said it plans to use its existing global distribution network, sourcing expertise, logistics platform and product innovation capabilities to introduce Béis to more consumers around the world.

The acquisition also adds another lifestyle-oriented name to a portfolio that includes Samsonite, TUMI, American Tourister and High Sierra. While those brands serve different segments of the travel market, Béis brings a particularly strong direct-to-consumer and social media-driven identity.

Kyle Gendreau, CEO of Samsonite Group, said the company sees “significant opportunities” to accelerate Béis’ long-term growth while preserving the creativity and brand identity that helped make it successful.

Béis Will Keep Its Standalone Identity

Despite the change in ownership, consumers should not expect Béis to immediately become absorbed into the Samsonite brand. The company will continue operating independently under its existing leadership team.

Adeela Hussain Johnson, who has led Béis since its launch, said Samsonite’s global scale and operational expertise would help the brand reach more consumers while allowing it to remain focused on innovation and its existing identity.

The deal is expected to close in the fourth quarter of 2026, pending regulatory approval. Until then, Béis remains under its current ownership structure, with the Samsonite acquisition marking the beginning of what could be its biggest expansion yet.
